Company Acquisitions Handbook

Multi-authored

"This practical guide covers all aspects of the corporate acquisition process... Anybody involved in mergers and acquisitions at any level will benefit from the easy to follow step-by-step instructions and legal knowledge provided throughout this work."  Brian Risman, The Law Journal UK, January 2012

Company Acquisitions Handbook, Tenth Edition is an essential step by step guide to the acquisition process, from some of the UK’s leading corporate strategy and corporate finance experts.

This highly practical guide covers all aspects of the corporate acquisition process, from the strategic decision to make an acquisition, to planning and implementation, all the way through to post acquisition management.

The tenth edition is updated to include coverage of:

  • The changes brought about by the full implementation of the Companies Act 2006
  • The impact of the credit crunch, global recession (including remuneration reviews) and the rise of the BRIC countries on the volume, nature and financing of M&A and the significant changes in deal structuring and the capital markets
  • The increasing role of the communications Strategy
  • Defined contribution (‘DC’) pension schemes enrolment costs
  • Expanded coverage of recent contribution notices and financial support directions that have real implications for deals
  • The imposition of competition law on property transactions following the removal of the Land Exclusion Order in 2012
  • The Environmental Permitting (England and Wales) Regulations 2010; the introduction of the CRC Energy Efficiency Scheme and its impact on transactions; and new considerations around Energy Performance Certificates
  • All current relevant case law including recent cases relating to guarantors released from liability in respect of assignments and employment law

Legal advisers, chairmen, company secretaries, corporate executives, mergers and acquisitions professionals will all benefit from the easy to follow instructions and the large amount of legal knowledge contained in Company Acquisitions Handbook.

The Company Acquisitions Handbook is an excellent guide for those of legal and other backgrounds who are involved in Mergers and Acquisitions (M&A) activities.

The Company Acquisitions Handbook (Law Handbook) (10th edition), is a concise step by step guide to the mergers and acquisitions process. While it is strong in its legal content, it contains valuable advice from some of the UK's leading corporate strategy and corporate finance experts. This practical guide covers all aspects of the corporate acquisition process, from the strategic decision to make an acquisition, to planning and implementation, all the way through to post acquisition management. Anybody involved in mergers and acquisitions at any level will benefit from the easy to follow step-by-step instructions and legal knowledge provided throughout this work.

As noted above, a strong point of the book is that it can be utilised by readers at different levels. An excellent point form summary called 'At a Glance' is at the beginning of each chapter. This feature allows the reader to determine if a particular section is relevant to their particular needs.

In fact, this book is in my view best approached as a 'Handbook' for legal, accounting and business personnel. It is in a cookbook style, providing clear checklists for what is required in a particular area. The writing is concise and clear, and while in detail, is eminently readable even for those lacking a professional background in a particular area. Background information to aid the reader is readily provided.

This book comes with a strong recommendation for readers to seriously consider reading – and absorbing – the material in this book.

Brian Risman, Publisher and Founder, The Law Journal UK
